Maroon's Digital Engagement Services ("Maroon's," "we," "us," or "our") operates this website, including its information, content, features, forms, and resources (collectively, the "Website"). References to our professional marketing, advertising, analytics, website, design, auditing, and related consulting offerings are referred to in these Terms as the "Professional Services."

By accessing or using the Website, you agree to these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree, you should not use the Website.

These Terms govern Website use. They do not, by themselves, establish a client relationship or obligate Maroon's to perform Professional Services.

Eligibility and Website Access

You must be at least the age of majority in your place of residence to use the Website. If you use the Website on behalf of a business or other organization, you represent that you are authorized to act for that organization.

You agree to provide accurate, current, and complete information when submitting an inquiry, requesting a consultation, or otherwise communicating with us. You may not misrepresent your identity, authority, business, or intended use of the Website.

We may restrict or discontinue access to all or part of the Website when reasonably necessary to protect the Website, our business, other users, or third parties.

Information About Professional Services

Descriptions of Professional Services on the Website are provided for general informational purposes. They are not binding offers, fixed scopes of work, or guarantees that a particular service, strategy, platform, deliverable, schedule, or result will be available or appropriate for every prospective client.

We may update, expand, limit, or discontinue Website content or service descriptions without prior notice. The actual scope, deliverables, responsibilities, schedule, and conditions of a project are determined through the applicable written project documents.

Section 04

Inquiries, Consultations, and Client Engagements

Submitting a form, requesting a consultation, sending an email, participating in a call, or discussing a potential project does not create a client relationship, guarantee acceptance of a project, reserve availability, or require either party to proceed.

A client engagement begins only after the applicable written service agreement, proposal, statement of work, or other project document has been accepted by the required parties and any required initial payment has been received.

We reserve the right to decline an inquiry or proposed engagement when the requested work is outside our capabilities, availability, professional standards, legal obligations, or business interests.

Section 05

Proposals, Pricing, and Separate Agreements

Website descriptions, preliminary discussions, and informal estimates are not final quotations. Project pricing, deposits, retainers, payment schedules, taxes, third-party costs, media budgets, cancellation terms, refund conditions, revisions, ownership, licensing, and delivery obligations will be established in the applicable written project documents.

A proposal or estimate may have an expiration date and may be revised before acceptance if project requirements, assumptions, availability, or third-party costs change.

Nothing on the Website authorizes a person to begin using proposed concepts, strategies, designs, documents, account structures, recommendations, or other preliminary work before the applicable rights have been granted in writing.

Intellectual Property and Permitted Website Use

Unless otherwise stated, the Website and its original text, graphics, logos, marks, artwork, images, layouts, interface elements, downloads, videos, audio, and other content are owned by Maroon's or used with permission and are protected by applicable copyright, trademark, and other intellectual-property laws.

You may view the Website for lawful personal or internal business evaluation. Without prior written permission, you may not reproduce, republish, distribute, sell, license, modify, create derivative works from, publicly display, falsely attribute, remove ownership notices from, or commercially exploit Website content.

You may not use Website content, artwork, designs, or other protected materials to train, develop, test, or improve artificial-intelligence or machine-learning systems; populate competing products or services; create unauthorized templates or derivative assets; or represent our work as your own.

Rights in client deliverables, preliminary concepts, working files, licensed materials, and project-specific intellectual property are governed exclusively by the applicable written project agreement. Display of work on the Website does not grant any license to that work.

Section 07

User Submissions and Project Information

You retain responsibility for information and materials you submit through the Website or provide during an inquiry. You represent that you have the right to provide those materials and that their use for the requested purpose will not violate another person's rights or applicable law.

You grant us a limited, non-exclusive permission to receive, review, store, reproduce, and use submitted materials only as reasonably necessary to evaluate or respond to your inquiry, prepare requested project documents, operate the Website, or provide Professional Services authorized by you.

General inquiries do not create an attorney-client, fiduciary, or confidential relationship. Do not submit passwords, private account credentials, Social Security numbers, complete payment-card information, trade secrets, or other highly sensitive information through ordinary forms or email. If a confidentiality agreement is required before substantive project information is shared, please raise that requirement before sending the information.

Unsolicited comments about the Website or our services may be used to evaluate and improve our business, but we will not publicly identify you or use a testimonial attributed to you without appropriate permission.

Section 08

Third-Party Tools, Platforms, and Links

The Website may link to or use services operated by third parties. We do not control those third parties and are not responsible for their availability, security, accuracy, content, policies, or independent processing of information.

Your use of a third-party website, platform, integration, or tool is governed by that provider's terms and privacy practices. A link, integration, reference, certification, or compatibility statement does not necessarily constitute an endorsement or guarantee.

Professional Services may depend on platforms, accounts, systems, policies, approvals, or functionality controlled by third parties. Project-specific responsibilities relating to those services will be addressed in the applicable written project agreement.

Section 09

Relationship With Shopify

The Website is powered by Shopify, which provides technology used to operate and deliver portions of the Website. Shopify is not a party to consultations, proposals, project agreements, or Professional Services between you and Maroon's.

To the fullest extent permitted by applicable law, Shopify and its affiliates are not responsible for the acceptance, performance, quality, delivery, cancellation, payment, ownership, or outcome of Professional Services provided or proposed by Maroon's, or for disputes arising from those Professional Services.

Nothing in these Terms alters any rights or responsibilities that Shopify independently establishes through its own terms, policies, or services.

Section 10

Privacy

Our collection, use, processing, and disclosure of personal information are described in the Maroon's Digital Engagement Services Privacy Policy.

Because the Website is hosted by Shopify, Shopify also collects and processes certain information relating to Website access and use. Information may be processed in countries other than the country in which you reside. Shopify's independent practices are described in its Consumer Privacy Policy and Privacy Portal.

Section 11

Prohibited Uses

You may use the Website only for lawful purposes. You may not:

• Violate applicable law or the rights of another person or organization.
• Infringe, misappropriate, or remove notices concerning intellectual-property, privacy, publicity, or other rights.
• Submit false, deceptive, defamatory, abusive, harassing, obscene, or unlawful material.

• Impersonate another person or falsely suggest affiliation with or endorsement by Maroon's.

No Guarantee of Marketing or Business Outcomes

Marketing, advertising, search visibility, website performance, design effectiveness, analytics, and business outcomes depend on numerous factors outside our control. These may include market conditions, competition, platform policies, algorithms, budgets, offers, pricing, client responsiveness, source materials, technical limitations, audience behavior, and third-party decisions.

Website content, examples, credentials, case discussions, recommendations, forecasts, or descriptions of Professional Services do not guarantee search rankings, advertising approval, traffic, leads, conversions, sales, revenue, profitability, audience response, platform access, or any other particular result.

Any project-specific performance standards or commitments must be expressly stated in the applicable written project agreement.

Disclaimer of Warranties and Limitation of Liability

The Website and its content are provided on an "as is" and "as available" basis for general informational purposes. To the fullest extent permitted by law, we disclaim warranties concerning Website availability, accuracy, completeness, security, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Maroon's and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from Website use, inability to use the Website, reliance on Website content, or access to third-party services, including lost profits, lost revenue, lost opportunities, or loss of data.

Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law. Liability arising from an accepted client engagement is governed by the applicable written project agreement rather than this Website limitation.

Section 15

Indemnification and Termination

To the extent permitted by law, you agree to indemnify and hold harmless Maroon's, Shopify, and their respective personnel and service providers from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Website, your material breach of these Terms, or materials you submit in violation of another party's rights.

We may suspend, restrict, or terminate your Website access if we reasonably believe you have violated these Terms, threatened Website security, infringed another party's rights, or created risk for Maroon's, Shopify, Website visitors, or third parties.

Termination of Website access does not cancel obligations contained in an independently accepted project agreement. Provisions that reasonably should survive termination, including intellectual property, disclaimers, limitations, indemnification, and governing law, will continue to apply.

Section 16

Governing Law, Severability, and Agreement Priority

These Terms and disputes arising specifically from Website access or use are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any rights that cannot lawfully be waived, proceedings concerning these Website Terms will be brought in the state courts located in San Bernardino County, California, or the applicable federal court in the Central District of California.

Nothing in these Terms limits rights or remedies that cannot lawfully be waived under applicable law.

These Terms govern Website use only. A signed service agreement, accepted proposal, statement of work, or other written project document governs the corresponding client engagement. If an accepted project document conflicts with these Terms concerning project scope, deliverables, pricing, payment, cancellation, refunds, revisions, ownership, licensing, confidentiality, timelines, or Professional Services, the accepted project document controls.

If a provision of these Terms is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. We may assign these Terms as part of a lawful transfer of the Website or our business.

Changes and Contact Information

We may update these Terms to reflect changes to the Website, Professional Services, technology, business practices, or legal obligations. The revised Terms will be posted on this page with an updated revision date. Additional notice will be provided when required by applicable law.
